1. The agreement
These Terms of Service (the "Terms") form an agreement between you (or the legal entity you represent) and Maquina ("Fragua," "we," "us"). They govern your use of fragua.app and the related products (the "Service").
By creating an account, you confirm that:
- You're at least 18 years old (or the age of majority in your jurisdiction)
- You have the legal authority to accept these Terms — both for yourself and, if signing up on behalf of a company, for that company
- You'll comply with all applicable laws when using the Service
- You've read and accept our Privacy Policy
If you don't agree, don't use the Service.
2. Your account
Account requests. Fragua is currently invite-only. To get an account, you submit a request via our access form, and we review and approve it. Approval is at our discretion.
Account structure. When approved, you become an admin of a new Account. Accounts can have multiple users; admins can invite, remove, and manage them. Each Account is the unit of billing and the boundary of data isolation.
Account responsibility. You're responsible for everything that happens under your Account, including the actions of users you invite, the cost of all Anthropic API tokens consumed, and notifying us if your account is compromised.
3. Your Anthropic API key
Fragua operates on a Bring Your Own Key model. To run agents, you provide your own Anthropic API key.
You agree that:
- You're authorized to use the Anthropic API key you provide
- You're solely responsible for paying Anthropic for the tokens consumed by your agents
- Your use of Anthropic's API is governed by Anthropic's Commercial Terms of Service and Privacy Policy
- If your Anthropic account is suspended, hits a rate limit, or runs out of credit, your agents will stop running until the issue is resolved on Anthropic's side
- You may rotate or remove your key at any time
We store your key encrypted at rest. We don't sell, share, or use your key for any purpose other than executing agent runs you've initiated.
4. Your GitHub installation
Fragua uses a GitHub App installed on the GitHub account or organization you choose. By installing it, you authorize us to perform actions during agent runs you initiate.
- You have permission to install the Fragua GitHub App on the account or org you've selected
- You're responsible for code Fragua pushes on your behalf, including any third-party intellectual-property or licensing issues
- You should review pull requests before merging — agents are capable, not infallible
- You can uninstall the GitHub App at any time, which immediately terminates Fragua's access to your repositories
5. Agent-generated work
This section is important and worth reading carefully.
When you start a run, an AI agent will read your spec, read your code, and write new code. The agent may read and write files, execute shell commands within its working directory, push branches, open pull requests, and make external HTTP requests if your spec instructs it to.
You are responsible for the consequences of these actions. Specifically:
- Code review: Review pull requests before merging.
- Cost: Each run consumes Anthropic API tokens that you pay for.
- External effects: If your spec instructs an agent to call external APIs, you're responsible for the effects.
- Cancellation: You can cancel a run at any time. Cancellation takes effect within ~5 seconds.
- Resumability: We try to make runs resumable across crashes. We can't guarantee identical results to running uninterrupted; agents are non-deterministic.
What we don't promise:
- That agent-generated code is correct, secure, performant, free of bugs, or fit for any particular purpose
- That agents will complete a task within a particular budget, time, or token count
- That two runs of the same spec will produce the same result
The agent is acting on your behalf, with your authorization, against your repositories, paid for by your tokens. The work product is yours to review, accept, modify, or reject.
6. Your content and intellectual property
You own your content. Everything you put into Fragua and everything agents produce on your behalf is yours. We claim no ownership.
License to us. You grant us a limited, non-exclusive, non-transferable, royalty-free license to host, store, transmit, display, and process your content solely as needed to provide the Service. This license ends when you delete the content or close your Account.
Aggregated, anonymized analytics. We may compute aggregated usage analytics that don't include the contents of your specs or runs.
7. Our content and intellectual property
The Service itself — website, application code, design system, trademarks, documentation — is owned by Fragua or our licensors. We grant you a limited, revocable, non-exclusive license to access and use the Service. You may not copy, modify, distribute, sublicense, or sell the Service, reverse-engineer it, or use our branding to imply endorsement.
Open-source components are governed by their respective licenses. See the public Maquina repositories at github.com/maquina-app.
Feedback. If you send us feedback, we may use it to improve the Service without obligation to you.
8. Acceptable use
You agree not to use Fragua to:
- Violate any law in your jurisdiction or the jurisdiction where the Service is hosted
- Infringe anyone's intellectual property, privacy, or other rights
- Generate or distribute malware, exploits, ransomware, phishing kits, or other malicious software
- Build systems designed to deceive, manipulate, or exploit users
- Bypass security measures or attempt to access other Accounts' data
- Generate content that violates Anthropic's Usage Policy
- Resell or rebrand Fragua's services as your own
We may, at our discretion and without prior notice, suspend or terminate Accounts whose use we believe violates these terms.
9. Billing and subscriptions
Fees. Paid plans are billed per Account in the amounts shown on our pricing page. Fees are exclusive of taxes.
Token costs are separate. Token costs from Anthropic are billed directly to you by Anthropic, never by us.
Auto-renewal. Subscriptions auto-renew unless you cancel before the renewal date.
Refunds. Subscription fees are non-refundable except where required by law.
Free trial / private beta. During the private beta, the Service may be offered without charge. We may begin charging at a future date with at least 30 days' advance notice.
Failed payments. If a payment fails, we'll email you and try again. Continued failure may downgrade or suspend your Account.
10. Termination
You can close your Account at any time. After confirmation, your Account enters a 30-day grace period; after that, all your data is permanently deleted (except billing records retained for tax law).
We can terminate or suspend your Account if you materially breach these Terms, your payment is past due for more than 30 days, we're required to do so by law, or we discontinue the Service entirely.
Survival. Sections that by their nature should survive termination (intellectual property, disclaimers, liability limits, indemnity, governing law) survive after your Account is closed.
11. Warranties (and disclaimers)
We warrant only that we'll provide the Service with reasonable skill and care, in accordance with these Terms.
EXCEPT FOR THE WARRANTY ABOVE, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
We don't warrant that the Service will be uninterrupted, error-free, secure against all threats, or will meet your requirements. We don't warrant the accuracy, reliability, or completeness of any agent-generated content.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event shall Fragua, its operators, employees, or contractors be liable for indirect, incidental, special, consequential, or punitive damages; lost profits, lost revenue, lost data, lost goodwill; damages arising from agent-generated code; damages arising from third-party services we integrate with; or damages arising from your loss of your Anthropic API key.
Our total cumulative liability under these Terms is limited to the greater of: (a) the fees you paid to Fragua in the 12 months preceding the event, or (b) one hundred US dollars (US$100).
13. Indemnity
You'll defend, indemnify, and hold harmless Fragua and its operators from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or any law, your violation of any third-party right, your content or content generated by agents under your direction, your use of any third-party service via Fragua, or acts of users you've invited.
14. Disputes and governing law
Governing law. These Terms are governed by the laws of México, without regard to conflict-of-laws principles.
Forum. Any dispute will be resolved exclusively in the courts of Colima, México.
Informal resolution first. Before filing any formal claim, please contact us at [email protected] and try to resolve the issue informally.
Time limit. Any claim must be brought within one year after the cause of action accrues.
15. Changes to these Terms
We may update these Terms from time to time. For material changes (price increases, new restrictions on use, changes to liability or dispute resolution), we'll notify you at least 30 days in advance via email and a banner on the product.
For non-material changes (typo fixes, clarifications), we'll update the Terms without prior notice. Your continued use after a change constitutes acceptance.
16. General
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fragua regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our prior written consent.
Force majeure. Neither party is liable for delays or failures caused by events beyond their reasonable control.
